Terms of Service

Binding Agreement: By accessing our services, you agree to these terms.

1. Definitions

"Services"
All software, cybersecurity, and physical security solutions provided by Intelisav.
"Client Data"
Any information you upload or process through our systems.
"SLA"
Service Level Agreement specifying uptime guarantees.

2. Account Requirements

To use our services, you must:

  • Be at least 18 years old or have legal guardian consent
  • Provide accurate registration information
  • Maintain the confidentiality of your credentials

Prohibited: Creating fake accounts, bots, or impersonating others.

3. Service-Specific Terms

Software Development

  • Source code ownership transfers only upon full payment
  • Client must provide timely feedback during development sprints
  • Post-launch support requires separate maintenance agreement

Cybersecurity Services

  • Penetration testing requires signed authorization for target systems
  • We report vulnerabilities; remediation is client's responsibility
  • False sense of security claims are expressly disclaimed

Physical Security

  • Installation dates subject to site readiness verification
  • Client must obtain necessary permits for surveillance systems
  • Force majeure events may delay service implementation

4. Payment Terms

Fees

  • Recurring SaaS subscriptions billed monthly/annually
  • Custom projects require 30% upfront deposit
  • All prices exclude VAT/Taxes unless stated

Late Payments

  • 1.5% monthly interest on overdue balances
  • Services suspended after 15 days of non-payment
  • $50 fee for returned payments

5. Intellectual Property

Our Ownership

Retained for:

  • Pre-existing code libraries
  • Proprietary algorithms
  • Dashboard UI/UX designs

Your Ownership

You retain:

  • Client Data processed through our systems
  • Custom-developed features (per contract)
  • Branding materials you provide

6. Limitations of Liability

Critical Disclaimer

Intelisav shall not be liable for:

  • Consequential damages (lost profits, data loss)
  • Third-party actions (e.g., telecom outages)
  • Security breaches caused by client negligence

Maximum Liability: Limited to fees paid in the 6 months preceding the claim.

7. Termination

By You

  • 30 days written notice for SaaS subscriptions
  • No refunds for partial months
  • Data export available for 14 days post-termination

By Us

  • Immediate termination for violations
  • 30 days notice for service discontinuation
  • Pro-rata refunds for prepaid unused services

8. Governing Law & Disputes

  • Jurisdiction: Courts of Nairobi, Kenya
  • Arbitration: Mandatory for claims under $50,000 (UNCITRAL Rules)
  • Class Action Waiver: Claims must be brought individually
